Cameroon: Shareholders of Boissons du Cameroun approve full merger and absorption of Guinness Cameroon
Shareholders of Boissons du Cameroun (SABC), a subsidiary of Castel Group, have officially approved the full merger and absorption of Guinness Cameroon. The two entities will operate under a single unified legal structure starting January 1st, 2027, Trendtype reported on October 8.
In July 2022, Diageo agreed to sell its Guinness Cameroun brewery to Groupe Castel for £369m ($460m). The sale was formally completed in May 2023 following approval from regional competition authorities.
Under the arrangement, Diageo transitioned to an “asset-light” model in the country, earning royalties through a long-term licensing agreement while SABC handles the nationwide brewing, packaging, and distribution of Guinness products.
After the merger Guinness Cameroon will cease to operate as a separate subsidiary. All its operations and employees will be fully integrated under the SABC umbrella. The company has stated this will preserve local employment while leveraging Castel’s established logistics network to scale output and meet growing local demand for Guinness.
SABC has five production sites in Cameroon and distributes beer and soft drinks nationally. To secure regulatory approval for the Guinness acquisition, Castel Group committed to a five year CFAF 200bn ($340m) investment program between 2023 and 2027. These funds are designated for expanding production capacity, including outfitting new production lines in Yaoundé, Garoua, and Bafoussam. Regional competition authorities reported in July 2026 that Castel is currently ahead of its agreed upon investment roadmap.
