Down Easy Brewing Incorporated (DEBI), Houston, TX, announced on February, 16 plans to begin a private placement of preferred (Series B) stock for funding. In exchange for 20% equity in the company, DEBI seeks five million dollars for start up funding. Shares will be offered to individual investors beginning at $5000.00 for an initial block at $0.25 per share. Corporate investor blocks will begin at $50,000 at $0.25 per share. A total of 20 million shares are available to investors.

The private placement began Monday, February 14, 2011, and will run through August 31, 2011, or until full-funding is achieved. Based on projected numbers, operations will begin with minimal funding regardless of final numbers raised.

Down Easy Brewing Incorporated is a Delaware corporation operating in Texas. DEBI will produce quality ales and lagers for the beer-drinking public of legal age in the state of Texas with plans to expand rapidly into new markets. Jack Winkler, Founder and company President, stated: "It is our goal to provide superior and affordable beer to a market awash in higher priced craft beers. We intend to bridge the gap between mainstream beers and the perceived elitism of the craft brew market."

The Board of Directors has been set with five members, however, two seats will be added after funding. Those seats will be made available to investors through a special election of shareholders. Current board members include: Jack Winkler, President, Brewer, and Founder; Jim Sweeney, CTO, Brewer, and Engineer; Sharon Stodghill, Legal Director and Treasurer; Melissa Thomas, Creative Director and Secretary; Stephani McLellan, Marketing Director. All board members have several years of experience in their respective fields and bring their expertise to bear on DEBI.
