Nigeria: EnjoyCorp Limited completes acquisition of 86.5 percent stake in Champion Breweries
|
Champion Breweries Plc has announced the completion of the acquisition of an 86.5 percent stake by EnjoyCorp Limited, a food, beverage, and hospitality firm, The Cable reported on June 19.
Imo-Abasi Jacob, chairman of Champion Breweries, disclosed this in a corporate filing on the Nigerian Exchange Limited (NGX) on June 19.
Champion Breweries offers packaging services to Nigerian Breweries Plc, the producer of Champion lager beer and Champ Malta — through Raysun Nigeria Company Limited, a subsidiary of Heineken.
The acquisition comes four months after an agreement was reached with Heineken B.V. to acquire 100 percent of its shareholding in Champion Breweries Plc.
In 2021, Heineken had purchased 1.9 billion ordinary shares of Champion Breweries through Raysun. This was after the Dutch brewer acquired a 57 percent stake in the company in 2014.
Speaking in the statement, Jacob said the acquisition was completed after the approval of regulatory bodies.
“EnjoyCorp Limited has successfully completed the acquisition of 86.5% stake in Champion Breweries plc, a prominent figure in the regional brewing industry,” the statement reads.
“EnjoyCorp acquired 100% shareholding in The Raysun Nigeria Limited, which in turn holds the 86.5% stake in Champion Breweries plc listed on the Nigerian Exchange Group.
“Sequel to the approval of the Federal

UK: UK drinks maker Britvic rejects second takeover bid from Carlsberg
|
Robinsons owner Britvic has rejected a £3.1bn bid from Carlsberg, the second offer made by the Danish brewer in a matter of days, Moneyweek reported.
Britvic, which is based in Hertfordshire, said it received a proposal from Carlsberg for the whole business on June 11. The UK FTSE 250 company told the stock exchange on June 21: “The board together with its advisers carefully considered the second proposal, and concluded that it significantly undervalues Britvic, and its current and future prospects.”
The bid valued the company at 1,250p per share, or £3.1 billion and the news sent shares in Britvic 15% higher to 1,167p during early trading on Friday (21 June).
The announcement comes a week after Britvic, whose brands also include J20 and Fruit Shoot, rejected a 1,200p per share approach from Carlsberg.
The UK company posted strong revenue growth in May, which was underscored by demand from its products from international markets.
Other London-listed soft drinks, including Irn Bru maker AG Barr and tonic maker Fevertree, also saw their share prices rise in early trading.
Carlsberg issued a separate statement confirming the move to its investors, saying it believes there could be long-term growth opportunities from a deal.
The Danish company said: "Carlsberg believes that

Kenya: Supreme Court declines Heineken bid to halt Sh1.8bn award to local distributor
|
The Supreme Court has declined to suspend an order that directed Dutch beermaker Heineken to pay local distributor Maxam Limited Sh1.8 billion as special damages for loss of business after its distribution agreement was terminated, The Star reported on June 20.
The Court of Appeal in a judgment issued on May 24 upheld a decision that awarded Maxam Limited Sh1.8 billion as special damages.
Justices Pauline Nyamweya, Abida Ali-Aroni and John Mativo said Heineken E.A and Heineken B.V should pay the monies after breaching the Kenya Distribution Agreement.
But the beermaker in a notice of motion dated June 1 moved to the Supreme Court to stay the execution of the judgment pending its appeal.
Through lawyer Fred Ngatia, the firm said its petition of appeal raises substantial grounds that would justify reversal of the judgment of the appellate bench.
"The petitioner did procure a bank guarantee for the decreed sum of Sh1,799,978,868 while the dispute was pending in the Court of Appeal. The guarantee can now be called up by the second respondent at any time. Once the payment is effected, the sum will not be within reach of this honourable court," Heineken said.
Maxam is listed as the second respondent in the appeal with Heineken

India: Allied Blenders and Distillers files for $180 mln IPO
|
Indian liquor company Allied Blenders and Distillers (ABD) on June 19 filed for an initial public offering (IPO) to raise up to $180 million, amid intensifying competition in a market dominated by the likes of Diageo and Pernod Ricard, Reuters reported.
ABD, which sells whisky brands such as Officer's Choice and Sterling Reserve in India's estimated $33 billion spirits market, said it would issue new shares worth up to 10 billion rupees ($120 million) as a part of the offering.
The company aims to use proceeds from that sale to reduce some of its outstanding borrowings, it said.
Meanwhile, existing shareholders in the firm will sell shares worth up to 5 billion rupees, ABD added.
As of the end of March 2023, the liquor maker's total liabilities had risen roughly 13% year-over-year. Over the same period, its consolidated revenue dipped 1.3% while profit after tax increased 8.5%.
ICICI Securities, Nuvama and ITI Capital are book-running lead managers to ABD's IPO.
India has smashed records at home and globally for the number of its IPOs, at a time when the domestic equity market has surged to all-time highs on economic growth prospects and a vast consumer base, making it an attractive destination for companies and investors.
