Agents and Terms and Conditions

1. General rules
By using our trading system you can buy and sell malt and malting barley.
We have introduced an extra trading form for agents. Agents who wish to introduce offers/requests and/or accept
offers/requests for account of their clients.
In order to operate as a Trading agent:
- You should Read and agree with our Terms and Conditions
- You need to be registered; your user name and password are your signature for contract conclusion
- You should read and agree with our Trading Rules for Agents.
- You need to sign up the AGENTS AGREEMENT.
If you would like to operate as a Trading agent, please send a message to
info@e-malt.com and we will submit the
AGENTS AGREEMENT to you.
Since Agents work "for account of" it is understood that business interest can only be introduced, when having the
full back-up security of their clients. Therefore we need agents to read and sign our AGENTS AGREEMENT, which
ensures e-malt S.A. your absolute secure use of the trading section of our site, but also offers agents an DIRECT
ACCESS to the trading online.
We offer agents the direct possibility to withdraw an offer or a request online, even before expiration of trading days
posting. Thus is to ensure agents' flexibility towards their clients.
Before you can trade on the site as an agent, you need to be registered; your user name and password is your
signature for contract conclusion.
Also, you need to register your clients for whom you intend to conclude transactions, since they will receive
confirmations directly from e-malt S.A. Possibly your client may want you to use his already existing user name and
password, therefore, you may want to confer with him.
You should set your prices fairly, according to an optimal market value.
2. If you are selling we suggest proceeding as follows:
2.1 View our requests at pages "View all malt requests" and "View all barley requests" If one or several requests are of interest to your client and you wish to accept these business transactions, you can accept them directly, by clicking button "Sell now".
If you accept a request, you cannot refuse the conclusion of the transaction, therefore, accepting a request is a
serious engagement for business conclusion.
You will receive the business confirmation and detailed information about the buyer within maximum 24 hours.
You cannot accept requests registered by other trading agents.
2.2 If one or several requests are of interest to your client, but some parameters of the request are not satisfactory, then you may want to counter with a bid, by clicking button "Bid now" at pages "View all malt requests" and "View all barley requests".
If the buyer accepts your bid, the transaction will be concluded and you will be informed by e-mail about the acceptance (or rejection) of your bid.
If the buyer accepts your bid, you cannot refuse the conclusion of the transaction, therefore, giving a bid is a
serious engagement for business conclusion.
Once your bid is accepted, you will receive, within maximum 24 hours, the confirmation contract of your business conclusion and detailed information about the buyer.
You cannot make a bid on requests registered by other trading agents.
2.3 If none of the requests is of interest to your client, you can create an offer at pages
"Create a malt offer for agents"
and "Create a barley offer for agents".
There are two pricing systems: Fixed or Spread
Fixed price: enter your target price. You must enter a realistic market price. If you enter an unrealistic price level the system may reject the offer. The system is based on real time market information. If your price target is set too high or too low the system may reject the offer.
Spread price: enter your minimum price and specify the period of validity (number of trading days). E-malt will list your offer first at the higher target price (2% higher than your price fixed by you in the form) and lower the price each day on a pro rata basis for the specified trading period until the offer is accepted (but not lower than the price you have specified in your offer).
Since the listing does not indicate whether it is a 'fixed price' or a 'spread price', buyers will either grab the chance or take the risk of missing the business opportunity.
After registering, your offer will appear immediately in our trading list ("View all malt offers" or "View all barley offers").
After registering the offer, the client will receive a message from the e-malt trading system informing that its agent has posted an offer on client's account.
You can delete a specific offer, registered by you recently (at "Delete a malt offer" or "Delete a barley offer"), at any time.
You will conclude a transaction if:
- There is a buyer which accepts directly your offer or;
- There are bids on your offer and you accept one of them. You will receive the information about bids for your offer by e-mail.
If your offer is accepted or you accept a bid on your offer, you cannot refuse the conclusion of the transaction; therefore, giving an offer or accepting a bid is a serious engagement for business conclusion.
Once your offer is accepted or you accept a bid on your offer, you will receive, within maximum 24 hours, the confirmation contract of your business conclusion and detailed information about the buyer.
After expiration of trading period, if there is no bid for your offer and nobody accepts it, we will inform about this
within maximum 24 hours.
If you are buying we suggest proceeding as follows:
3.1 View our offers at pages "View all malt offers" and "View all barley offers" . If one or several offers interest are of interest to your client and you wish to accept these business transactions, you can accept them directly, by clicking button "Buy now".
If you accept an offer, you cannot refuse the conclusion of the transaction, therefore, accepting an offer is a serious engagement for business conclusion.
You will receive the confirmation contract of your transaction and detailed information about the seller within maximum 24 hours.
You cannot accept offers registered by other trading agents.

3.3 If none offer is of interest to your client, so you can create your request at pages
"Create a malt offer for agents" and
"Create a barley offer for agents".
There are 2 pricing systems: Fixed and Spread
Fixed price: enter your target price. You must enter a realistic market price. If you enter an unrealistic price level the system may reject the request. The system is based on real time market information. If your price target is set too high or too low the system may reject the request.
Spread price: enter your maximum price and specify the period of validity (number of trading days). E-malt will list your request first at the target price (2% lower than your price fixed by you in the form) and raise the price each day on a pro rata basis for the specified trading period until the request is accepted. (But not higher than the
price you have specified in your request).
Since the listing does not indicate whether it is a 'fixed price' or a 'spread price', sellers will either grab the chance or take the risk of missing the business opportunity.
After registering, your request will appear immediately in our trading list ("View all malt requests" or "View all barley requests").
After registering the request, the client will receive a message from the e-malt trading system informing that its agent has posted a request on client's account.

You will conclude a transaction if:
- There is a seller which accepts directly your request or;
- There are bids on your request and you accept one of them. You will receive the information about bids for your request by e-mail.

Once your request is accepted or you accept a bid on your request, you will receive, within maximum 24 hours, the confirmation contract of your business conclusion and detailed information about the seller.
After expiration of trading period, if there is no bid for your request and nobody accepts it, we will inform about this within maximum 24 hours.
4. Commissions:
Agents and e-malt operate on a shared commission, hereof Agents receive 60%, e-malt S.A. 40%
Malt commission:
Sellers are to pay a commission of 0.5% of contract value.
Barley commission:
Sellers are to pay a commission of 0.4% of contract value.
Payment of commission:
At the moment of business conclusion, the seller receives the commission invoice due to be paid upon delivery of merchandise. If the Agent acts on behalf of the Seller, it is the Agents duty to collect the commission and to pay the 40% of the total commission to e-malt S.A. If the Agent acts on behalf of the buyer, e-malt S.A will collect the commission and pay the Agent's 60% of the total commission.
When business is colluded by an agent, he carries the full responsibility of contract execution towards seller and buyer, and also of transmittance of contracts and commission invoices.
E-malt support, if present, will be limited to support communications between the parties, towards the successful execution of the contract.
The trading agent should keep e-malt S.A. informed about delivery schedule.
